TOP-UP AGREEMENT
This agreement is effective on July 4, 2023.
Welcome to our 问问 App in which you can find the positive solution through the empathic non-judgemental advisors and their powerful readings and rituals. In order to reach out the Advisor you shall purchase “Diamond” to top-up your balance account.
Please carefully read and ensure that you fully understand this Top-Up Agreement's terms before starting top-up to your balance account. Once you confirm this Top-up Agreement, it means that you accept all the terms of this Agreement, and it is legally binding on you and 问问 App. If you have any objections, please do not do so.
1. Diamond
1.1 Certain features of the services may require you to pay fees. Thus, to access certain features of 问问 App, you will top-up your balance account through the payment method specified in 问问 App. Once you top-up, you will get Diamonds in 问问 value store. Diamonds can be used for services in 问问 App and deducted from your 问问 store value when you access paid features.
1.2 The price of the Diamond may be subject to change, and we reserve the right to change the price of the Diamond without your consent. For example, sometimes we will make some price adjustments based on the exchange rate.
1.3 You agree that purchased Diamonds have no monetary value and do not constitute actual currency or property of any type. The Diamonds may never be sold, transferred, traded or exchanged through any legally acceptable payment method, goods or other items of monetary value from us or anyone else.
1.4 You may not buy or sell any Diamonds or your account in exchange for legally acceptable money or otherwise exchange them for any other kind of value through any means other than that established by us.
1.5 We recommend you should buy a reasonable amount of Diamonds depending on your needs.

2. Refund
2.1 You acknowledge and agree that you cannot be withdrawn or revoked when top-up to get Diamond in 问问 store value.
2.2 We only accept refund requests if there are some technical problems which shall be subject to our inspection and confirmation.
2.3 In case you request a refund because of the bad service of the Advisor. We will check and confirm the problem. If your request is reasonable, we will give back the Diamond in 问问 store value.
3. Difference between your Diamond in 问问 value store and actual value
If your Diamond in 问问 value store is less than the actual value due to system failure or other reasons, you should contact our customer service immediately at support@etherdm.com We will check the system and after we confirm the system error, we will make up the difference as soon as possible. Otherwise, it is deemed that you agree to the transaction records on the platform. If your Diamond on the system exceeds the actual value due to system failure or other reasons, we reserve the right to deduct the difference from your account directly.
4. Disclaimer
4.1 As per our User Terms and Conditions, you confirm that you are 18 years of age or older. If you are under 18, and you pretend to be an adult to sign and top-up to the account, we will not be responsible for any consequences arising therefrom.
4.2 问问 App does not receive or save your payment card information, we only receive the notification about payment result from the payment service provider.
4.3 You confirm that the information you submit through the platform is accurate and legal. You are the account holder of the payment account, and your use of the payment account shall not infringe on the rights of third parties. If there are any losses to the actual owner, you will resolve them by yourself and bear all legal and economic responsibilities.
4.4 You shall properly keep your payment account (such as payment password, dynamic password, mobile phone number, verification code, Etc.). If you lose or disclose the aforementioned information and equipment, you should promptly notify the bank and the platform to mitigate your losses. Any losses caused by your management of payment account or bank or others shall be borne by you.
4.5 You shall carefully check your account number and the amount. You will be solely responsible for the consequences caused by entering the wrong account number or password, charging the wrong account number, charging the wrong amount, or improper operation caused by yourself. We recommend that you should carefully confirm the transaction information.
4.6 Any losses or liabilities arising from the inability of the platform to provide services due to your reasons shall be borne by you, and 问问 App shall not be liable. Your reasons include but are not limited to the following:
(i) Due to invalidation, loss, or suspension of your account;
(ii) Losses or liabilities caused by the account of your bound third-party payment institution, including your use of an unauthenticated third-party payment account or the use of a third-party payment account other than your own, your third-party payment account is blocked freezing, seizure, etc.;
(iii) Property loss caused by you telling others your password;
(iv) Property damage caused by your personal intentional or gross negligence.
5. Change
You agree 问问 has the right to revise the content of this agreement according to the needs of business operations adjustments. You agree to review the Terms regularly and your continued access or use your Diamond in 问问 store value will mean that you agree to any changes.
6. Maintenance
6.1 Suppose the network service needs to be suspended due to system maintenance or upgrade. In that case, the platform will try its best to notify you in advance, and you should pay attention to the notice and take appropriate measures to avoid losses.
6.2 To ensure the regular operation of the platform website and servers, the platform needs to regularly or irregularly shut down the servers and related facilities and equipment for maintenance or conduct emergency shutdown maintenance for emergencies. You understand and agree to the interruption of regular services caused by the above circumstances. The platform will try its best to avoid service interruption and will try its best to limit the interruption time to the shortest possible time.
7. Suspension and termination
7.1 We reserve the right to suspend or terminate the service to you if:
(i) you fail to comply with any documents published on 问问 App (Terms and Conditions of Use, Privacy Policy, etc.);
(ii) we suspect fraud or misuse by you of the Diamonds and the Service;
(iii) we suspect any other unlawful activity associated with your account;
(iv) we are acting to protect the service, any of our users, advisors, or our reputation.
7.2 All Diamonds may be forfeited if your account is suspended or terminated for any reason, at our sole and absolute discretion without prior notice. You will not receive money or other compensation for unused Diamonds when your account is closed whether such closure was voluntary or involuntary.
8. Applicable Law and Dispute Resolution
8.1 This Top-up Agreement will be governed by and construed per Singapore Law.
8.2 Any dispute shall be settled amicably by mutual discussion, failing which the same shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) under the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.
The seat of the arbitration shall be Singapore.
The Tribunal shall consist of one Arbitrator.
The language of the arbitration shall be English.
9. Waiver
This Agreement includes a class action waiver and a mandatory arbitration provision. Any dispute, action, claim, or cause of action arising out of or in connection with this Agreement shall be resolved by Arbitration on an individual basis and may not be pursued as a class action.
